Lauren Hennelly
Lauren joined Exbo Group in 2021 and plays a key role in supporting clients across the full acquisition lifecycle, from initial diligence through post-close integration. She advises private equity firms, venture capital investors, and independent sponsors on buy-side transactions, and also works on the sell-side to prepare founders for financial due diligence. Lauren brings deep expertise across a range of verticals, including SaaS, FinTech, EdTech, Data Analytics, Professional Services, and Intellectual Property.
Lauren’s work spans all phases of a transaction. She provides strategic guidance on purchase price structuring, indebtedness, and net working capital mechanics, and advises on purchase agreement language to ensure alignment with financial terms. As a subject-matter expert in business combination accounting, Lauren supports clients with ASC 805-compliant purchase price allocations, opening balance sheet determinations, and multi-entity structuring. Her support continues post-close, arming clients with audit-ready financials and technical memos to ensure seamless integration and long-term compliance.
To date, Lauren has advised on over 100 transactions, including Commerce7’s acquisition of WineDirect’s software division and Aquiline-backed Fullsteam’s acquisition of GroundWidgets, a nine-entity software platform. Her experience allows her to navigate complex deal structures while maintaining a focus on operational readiness.
Before joining Exbo Group, Lauren was an Audit Associate at Deloitte, where she worked with multinational investment banks on large-scale M&A audits. She also held finance and business development roles at Northwell Health and began her career in wealth management at Raymond James.
Lauren holds both a BBA and MS in Accounting from the University of Miami and is a licensed CPA in the state of New York. Outside of work, she enjoys fitness and spending time outdoors.
