Transaction Services

Former Big Four teams. Quality of Earnings done fast. Built for lower-middle-market deals.

An AI-enabled diligence practice that restates every transaction to GAAP, then carries the same detail through close—so the books reconcile to the databook your deal was underwritten on.

How we work differently

Most QoE providers charge six figures to produce a databook and a report, then walk away. After the deal, none of the target’s internal reporting matches the QoE or the banker’s model. We work differently. Our team comes from Big Four transaction services practices, and our AI-enabled process restates every transaction to a GAAP basis before we run diligence and pro-forma adjustments. That same transaction-level detail lets us remediate the books after close, so internal financials match the clean databook the deal was underwritten on.

AI in process

Our QoE process scans every transaction and flags anomalies and EBITDA adjustment candidates. We can deliver in as little as 21 days with 100% transaction coverage, not a five-week report based on sampling.

The two-step approach

Step one — restate to GAAP at the transaction level.

We rebuild the financials transaction by transaction onto an accrual, GAAP basis. This is what makes the databook reusable after close.

Step two — diligence and pro forma.

On the restated base we perform normalizations and forward-looking pro-forma adjustments, then deploy buy- or sell-side strategies to protect or improve purchase price.
